Tax Pro Suite Professional Software

IMPORTANT: This document is a legally binding agreement (the “Agreement” or “Terms and Conditions”) between you (the “User”) and Tax Pro Suite Professional Software (“Tax Pro Suite,” “we,” “us,” or “the Company”). By accessing or using the Software, the Website, or the Services, you agree to be bound by these Terms, our Privacy Policy, and the limitation of liability described below.

1. Use of the Software and Platform

1.1 Grant of Limited License

We grant you a non-exclusive, non-transferable, limited license to use the tax preparation software Tax Pro Suite Professional Software (the “Software”) solely for the purpose of preparing and filing your tax returns or those of your clients. This license is valid only as long as you comply with the terms of this Agreement.

1.2 White-Label Nature and Technical Operation

You acknowledge that Tax Pro Suite Professional Software provides this service to you under a white-label agreement. While we manage your account, the contract, and customer support, the Software operates and utilizes an underlying technical platform provided by a principal third-party developer.

1.3 Your Professional Responsibility

If you are a Professional Tax Preparer, you are solely responsible for the accuracy, completeness, and legal submission of all tax returns prepared using the Software. The Company does not guarantee that the Software will meet all tax-filing regulations or requirements.

2. User Obligations

2.1 Eligibility and Minimum Age

The Services are intended only for individuals who are eighteen (18) years of age or older. By accepting this Agreement, you represent that you meet this age restriction.

2.2 Registration Information

You agree to provide true, accurate, and complete registration information and to keep your contact information (including email address) up to date.

2.3 Prohibitions

You agree not to:

  • Use the Software for any illegal or unauthorized purpose.
  • Copy, modify, distribute, or reverse engineer the Software or the underlying platform.
  • Attempt to gain unauthorized access to the Company’s systems or the principal developer’s platform.

3. Payment and Refund Provisions

3.1 Charges and Payment

You agree to pay all fees associated with the use of the Software and the Services. All prices are subject to change without notice, unless otherwise expressly agreed upon in writing.

3.2 Third-Party Payments

You acknowledge that payment processing (including credit card payments and “pay from refund” services via TPG) is handled by third-party providers. We are not responsible for the terms, conditions, or privacy practices of such third parties.

3.3 License Fulfillment

Upon completion of registration and payment, the license for the Software and administrative access (Username and Password) will be fulfilled and delivered to the principal administrator via email within three (3) business days.

3.4 Payment Method Restrictions

The availability of “Buy Now, Pay Later” options, such as Klarna, is subject to the provider’s specific terms. You acknowledge that if Gift Cards are offered by Tax Pro Suite Professional Software, these “Buy Now, Pay Later” options may not be used for their purchase. These payment methods are also restricted from being used for the booking of services or consultations, even if those services are made available through the Web Site.

4. Limitation of Liability and Disclaimer of Warranties

4.1 Disclaimer of Warranty

The Software and Services are provided “as is” and “as available.” Tax Pro Suite Professional Software disclaims all warranties, express or implied, including, but not limited to, any warranty of merchantability or fitness for a particular purpose.

4.2 Limitation of Liability

Tax Pro Suite Professional Software and its principal developer (OLTPro Professional Tax Software) shall not be liable to you for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of or inability to use the Software, even if the Company has been advised of the possibility of such damages. In no event shall our total liability for any claim arising out of this Agreement exceed the amount you paid us for the use of the Software and Services during the last year.

4.3 Privacy

Your use of the Software is subject to our Privacy Policy, which you accept by agreeing to these Terms. The Privacy Policy describes how your Personal Information is collected, used, and disclosed, including disclosure to taxing authorities and the principal developer.

5. Termination and Miscellaneous

5.1 Termination

We reserve the right to suspend or terminate your access to the Software and Services immediately, without prior notice, for any breach of these Terms. Upon termination, your license to use the Software will immediately cease.

5.2 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Colorado State, United States of America, without giving effect to any principles of conflicts of law.

5.3 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Tax Pro Suite Professional Software regarding the use of the Services.
